1. Introduction and Agreement

PT Orionex Solusi Digital ("Orionex Solutions," "Orionex," "we," "us," "our"), located at Gedung Wirausaha, Jalan H. R. Rasuna Said Kav. C No. 5, Setiabudi, Jakarta Selatan, 12920, Indonesia, provides a suite of digital platforms and AI-powered services.

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," or "Client"), and Orionex, concerning your access to and use of our websites (https://orionex.id), software platforms, and related applications (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Definitions

• "Services" refers to the websites, SaaS applications, APIs, cloud infrastructure, and IT consulting services provided by Orionex.
• "Customer Data" refers to any data, content, files, or information uploaded, generated, or submitted by you within our Services (e.g., financial datasets, student rosters, website assets).
• "AI Output" refers to the data, text, code, or media generated by the Services' artificial intelligence models in response to your Customer Data.
• "On-Premise Software" refers to versions of our Services deployed on the Client’s own infrastructure (e.g., Self-Hosted versions).

3. Account Registration and User Representations

3.1 Registration

To access certain features, you may be required to register for an account. You agree to:

1. Provide accurate, current, and complete information.
2. Maintain the security of your password and authentication credentials.
3. Notify us immediately of any unauthorized use of your account.

3.2 User Representations

By using the Services, you represent and warrant that:

1. Legal Capacity: You have the legal capacity and authority to agree to these Terms. If you are using the Services on behalf of an organization (e.g., a School or Company), you represent that you are authorized to bind that organization to these Terms.
2. Not a Minor: You are not a minor in the jurisdiction in which you reside (or have obtained parental/guardian consent if accessing educational tools).
3. Compliance: Your use of the Services will not violate any applicable law or regulation, including Indonesia's Law regarding Electronic Information and Transactions (UU ITE).

4. License and Deployment Models

4.1 Cloud License Grant

Subject to your compliance with these Terms, Orionex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Cloud-hosted Services for your internal business or educational purposes.

4.2 On-Premise & Hybrid Deployment

If you deploy our software on your own infrastructure ("On-Premise"):

• License: You are granted a license to execute the object code of the software solely on infrastructure you own or control.
• Shared Responsibility: You are solely responsible for the security, maintenance, and networking of the hardware/server where the software is installed. Orionex remains responsible only for the security of the software code and the cloud APIs it connects to.
• Telemetry & Connectivity: You acknowledge that On-Premise versions may still require internet connectivity to validate licenses (heartbeat) and access proprietary cloud-based AI models. Tampering with these connections is a violation of these Terms.

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

1. Reverse Engineering: Decipher, decompile, disassemble, or reverse engineer any of the software or AI models comprising the Services.
2. Scraping & Data Mining: Systematically retrieve data, code, or content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission.
3. Competitive Use: Use the Services, Customer Data, or AI Output to build a competing product or service, or to train other artificial intelligence models.
4. Security Violations: Circumvent, disable, or otherwise interfere with security-related features, including preventing or restricting the copying of Content.
5. Malicious Acts: Upload or transmit viruses, Trojan horses, or other material that interferes with the Services.
6. Unauthorized Access: Attempt to access the accounts of other users or our backend systems.
7. Illegal Content: Use our platform to publish websites, documents, or content that is illegal, harassing, hateful, fraudulent (phishing), or sexually explicit.

6. Intellectual Property

6.1 Orionex Property

The Services, including source code, databases, functionality, software designs, AI algorithms, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by PT Orionex Solusi Digital and are protected by copyright and trademark laws.

6.2 Customer Data Ownership

You retain all ownership rights to your Customer Data.

6.3 License to Process Data

By submitting Customer Data, you grant Orionex a worldwide, royalty-free license to access, use, process, copy, and display said data solely as necessary to provide, maintain, and improve the Services (e.g., generating analytics, hosting your website, or scoring student essays).

6.4 AI Output

Between you and Orionex, you own the AI Output generated by your specific inputs, subject to your compliance with these Terms. Orionex hereby assigns to you all its right, title, and interest in and to such AI Output.

7. Payment and Billing

• Fees: You agree to pay all applicable fees as described on our pricing page or service agreement.
• Taxes: Fees are exclusive of taxes. You are responsible for all applicable taxes (e.g., VAT/PPN) as required by Indonesian law.
• Refunds: Unless otherwise required by law or specified in a specific service agreement, all fees are non-refundable.

8. Third-Party Services and AI Disclaimers

Our Services integrate with third-party tools (e.g., OpenAI, Google Gemini, Midtrans).

8.1 AI Probabilistic Nature

You acknowledge that Artificial Intelligence services are probabilistic. Output may contain errors, inaccuracies, or "hallucinations."

• Financial/Business Advice: AutoInsight predictions are for informational purposes only and do not constitute professional financial advice.
• Educational Scoring: NexLMS automated scoring should be reviewed by human instructors for final grade determination.
• Responsibility: You are solely responsible for verifying the accuracy of AI Output before relying on it.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ORIONEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PT ORIONEX SOLUSI DIGITAL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ORIONEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including intellectual property rights; or (5) any overt harmful act toward any other user of the Services.

12. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.

13. Term and Termination

These Terms remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO SUSPEND OR TERMINATE YOUR ACCOUNT WITHOUT NOTICE IF YOU BREACH THESE TERMS OR ENGAGE IN ILLEGAL ACTIVITY. Upon termination, your right to use the Services will cease immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any disputes arising from these Terms that cannot be resolved amicably via informal negotiation within thirty (30) days shall be submitted to the exclusive jurisdiction of the District Court of South Jakarta (Pengadilan Negeri Jakarta Selatan).

15. Electronic Communications

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
